Terms & Conditions of receiving information or any document – in any form – by CIRCLEMOON PARTNERS LLC (“CMP”)

Any information or recommendation – in any form such as but not limited in written paper form or electronic form or orally – for co-operation or investment purposes provided by CMP, is for exclusive use and for illustrative purposes only and is personal to the recipient. It is issued by CMP on a strict confidential basis solely for the purposes of preliminary discussion regarding a possible transaction between the recipient and CMP.

Any information or document or communication – in any form – that has been prepared by CMP and is furnished to the recipient by CMP, it is solely and only for recipient’s information and shall not be relied upon neither confer rights or remedies upon the recipient or any of recipient’s employees, creditors, holders of securities or other equity holders or any other person.

Any information contained in any document has been obtained from information (“Source Data”) prepared by the management team, eventually external consultants and advisors (on a paid or non-paid form) of CMP for internal purposes only and not with a view toward disclosure to third parties and may not comply with International Financial Reporting Standards. No attempt has been made by CMP to audit or verify the Source Data or any other information. No representation or warranty, express or implied, is made by CMP and/or any of its associates, affiliates or subsidiary companies or any of its respective partners, directors, officers, employees, advisors, representatives or agents or any other person or entity regarding the fairness, adequacy, accuracy or completeness of the information or opinions contained in the document provided or any written or oral information made available to any interested party, and no liability whatsoever is accepted by any such person in relation to any such information or opinion.

Information or opinions contained in any document or any written or oral information made available to any interested party does not purport to be comprehensive and has not been independently verified.

Any document (together with any further information which may be provided to the recipient whether orally or in writing or else) for the same or similar purpose and aim, is made available on the condition that it is for use only by the recipient and is not intended to be and shall not be distributed or passed on, directly or indirectly, to any other person or entity or other recipient or public and is being supplied to the recipient solely for his/hers information and shall not be reproduced, copied, distributed, translated, disclosed or published in whole or part and any form (digital, analogue, in writing or orally) and shall be returned along with any other copies at any time at the request of CMP.

Recipients are reminded to ensure that the terms of the above confidentiality undertakings and restrictions are strictly adhered to. Documents may contain unpublished information, which may be price sensitive. Accordingly, the recipient agrees that neither the recipient nor any of its agents or affiliates or partners shall use such information for any other commercial purpose or for the purpose of competing with CMP.

Any provided document shall not exclude any liability for, or remedy in respect of, fraudulent misrepresentation.

Any provided document is strictly private and must not be distributed all or parts of it, in any form, to the press or any media organization neither the press or any media organization shall be made aware of it without the prior written approval by CMP.

All trademarks used in documents are the properties of their respective owners. By accepting a document, the recipient agrees to be bound by the foregoing limitations.

Any distribution of a document in any form or otherwise electronic or physical reproduction or reconstruction or duplication, in any physical or non-physical form, whether it regards the entire document or pats of it, needs the prior written approval by CMP. Above shall apply worldwide without any restriction to local legal legislation of CMP representations or recipients presence in any country.

Terms & Conditions of using CIRCLEMOON PARTNERS LLC (“CMP”) website, privacy and cookies policy

By entering CMP website and using CMP website an agreement comes to force of accepting the terms and conditions of using the website. In case of disagreement you the viewer may exist the website immediately.

CMP website may use cookies.  The use of CMP website implies an agreement of use ofcookies according to common practice for cookies policy and privacy of data received through cookies. Unless otherwise stated CMP owns the intellectual property rights on its website and material on the website.  Subject on an existing license, all intellectual property rights are reserved.

Anyone can view, download for caching purposes only, and print pages from CMP’s website strictly for own personal use, subject to the restrictions set out herein.  It is not allowed to

Access to certain areas of CMP’s website may be restricted for specific accredited users only.  CMP reserves the right to restrict access to specific areas of CMP’s  website, or indeed this entire website, at CMP’s discretion.

CMP may provide specific user ID and password to enable access to restricted areas of CMP’s website or other content or services, whereas the user ID and password are kept confidential and are personalized.

CMP may disable user IDs and passwords in its sole discretion without notice or explanation.

CMP’s website is provided “as is” without any representations or warranties, express or implied.  CMP makes no representations or warranties in relation to CMP’s website or the information and materials provided on CMP’s website.

Without prejudice to the generality of the foregoing, CMP does not warrant that CMP’s website will be constantly available, or available at all or that the information on this website is complete, true, accurate or non-misleading.

Viewer accepts that, as a limited liability entity, CMP has an interest in limiting the personal liability of its officers and employees.  Therefore the viewer – without restriction and limitation – agrees that the viewer will not bring any direct or indirect claim personally against CMP’s shareholders, officers or employees in respect of any losses viewer suffers in connection with CMP’s website.

Without prejudice to the foregoing paragraph, viewer agrees that the limitations of warranties and liability set out in CMP’s website disclaimer will protect CMP’s shareholders, officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as CMP.

The viewer hereby indemnify CMP and undertake to keep CMP indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by CMP to a third party in settlement of a claim or dispute on the advice of CMP’s legal advisers incurred or suffered by CMP arising out of any breach by viewer of any provision of these terms and conditions, or arising out of any claim that viewer have breached any provision of these terms and conditions.

Without prejudice to CMP’s other rights under these terms and conditions, if viewer breach these terms and conditions in any way, CMP may take such action as CMP deems appropriate to deal with the breach, including suspending access to the website, prohibiting from accessing the website, blocking computers using specific IP address from accessing the website, contacting internet service providers to request that they block access to the website and/or bringing court proceedings against anyone.

CMP may revise these terms and conditions from time-to-time without prior notice.  Revised terms and conditions will apply to the use of CMP’s website from the date of the publication of the revised terms and conditions on CMP’s website.  Please check this page regularly to ensure familiarity with the current version.

CMP may transfer, sub-contract or otherwise deal with CMP’s rights and/or obligations under these terms and conditions without notifying or obtaining consent.

Viewer may not transfer, sub-contract or otherwise deal with the rights and/or obligations under these terms and conditions.

If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.  If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

CMP hosts it’s website at an outsourced service provider.  CMP believes that this service provider has implemented reasonable technical and organizational measures designed to secure CMP’s website and any personal information from accidental loss and from unauthorized access, use, alteration or disclosure. However, CMP cannot guarantee and has no direct or indirect responsibility whatsoever that unauthorized third parties will never be able to defeat those measures or use personal information for improper purposes.

CMP welcome comments concerning terms & conditions of using CMP’s website. Please feel free to contact us throug CMP contact form. We will use commercially reasonable efforts to promptly determine and remedy any problem we are aware of or made aware of by a viewer.

These terms and conditions constitute the entire agreement between viewer and CMP in relation to the use of CMP’s website, and supersede all previous agreements in respect of use ofCMP’s website.

Terms & Conditions of receiving emails and communicating over email by CIRCLEMOON PARTNERS LLC (“CMP”) partners, directors, officers, employees, advisors, representatives or agents

e-mails including all attached files sent by CMP partners, directors, officers, employees, advisors, representatives or agents maycontain PRIVILEGED AND CONFIDENTIAL INFORMATION and is intended only for the person or entity to which  it is addressed. Any review, retransmission, dissemination or other use of any action in reliance upon this information by person(s) or entity(ies) other than the intended recipient(s) is prohibited. If someone has received an email in error, he/she is requested to delete this email and any director indirect related emails, attachments or information from the respective computer and any other electronic device (phone, tablet, etc.) or from any physical or virtual storage form (cloud) and contact the sender by email immediately.

CMP has taken every reasonable precaution to minimize the risk of potential virus through e-mail communications, but CMP is not direct or indirect liable for any damage an email recipient may sustain as a result of any virus in a e-mail originated by CMP or forwarded by CMP to the recipient. Recipient should carry appropriate own virus checks and anti-virus precautions before opening any e-mail or attachment.
